Susan Kaggwa

Managing Partner

Susan is the Managing Partner of the Firm and heads the firm’s corporate/M&A and commercial department. She has an unyielding passion for the law and is an expert in the areas of corporate/M&A and commercial law with a bias for capital markets, banking and finance.

Susan is the firm’s point person on capital markets, banking and finance together with foreign and local not for profit organisations. Her experience covers secured and unsecured lending both bilateral and syndicated with sovereign, international organisations, financial institutions and corporate borrowers and additionally advises on structured finance. She also advises on restructuring of the aforesaid and on international capital markets, bond issues and derivatives transactions and associated regulatory issues.

Because of the depth of her experiences, Susan has worked with financial institutions and corporates to develop and refine their syndicated securitization documentation.

Susan has handled numerous complex commercial transactions all across East and Southern Africa for several local and international clients. Her experience includes advising clients in the financial services sector in resolving their disputes, advising banks on claims by corporate and retail customers, advising on claims arising from loan defaults and enforcement of guarantees. She also advises borrowers, lenders, sellers and buyers in connection with documentation and funding of liquidity facilities for originators of residential mortgage loans.

She also handles matters relating to mergers and acquisitions, enforcement of employment contracts, non-compete, non-disclosure, non- circumvention and confidentiality agreements and takes charge of all Company Secretarial work in the Firm. Susan also sits on all meetings of the Board of Directors of Companies for which the firm acts as Company Secretary.

Before joining the Firm, Susan practiced with Kasirye, Byaruhanga & Company Advocates as a Legal Associate, for a period of over six years. While there, she handled and developed expertise in general corporate matters and specialized in matters relating to the law of banking, immigration, routine company secretarial work and intellectual property, particularly trademark matters.

Susan was recently appointed to the adhoc committee of the Uganda Law Society reviewing the Civil Procedure rules widely used by lawyers whilst handling civil and commercial litigation matters.

Susan is a holder of a Bachelor of Laws Degree, LLB with Honours from Makerere University Kampala, a Diploma in Legal Practice from the Law Development Centre, Kampala, a Chartered Secretary from the Institute of Chartered Secretaries and Administrators (ICSA, United Kingdom).

She is a member of the institute of Chartered Secretaries and Administrators, the International Bar Association, East African Law Society and the Uganda Law Society.
